Contract Agreement

This Agreement made and entered into and between “ASAP” and the “Client” State Bar of Texas shall be governed by the laws of the State of Texas, Bexar County.

This Contract includes all listed estimates, and site plans as part of the agreement.

ASAP will provide all labor, materials, equipment, and services needed to complete data cabling as described in Estimate #1873 (Exhibit A) and shown and accepted by client on site plans (Exhibit B). This estimate covers only the permanent link portion of the data cabling, excludes active equipment placement, patch cables, conduits and any such thing or scope that is not included with a line item charge on the estimate. Any changes or additions to the scope of work shall require additional charges and written approval from both parties. 

Work shall commence within 7-10 days of the contract being signed, and the initial deposit is received. ASAP aims to finish within the client's timeframe, requiring a deposit for scheduling. The client will pay ASAP as per the agreed sums and schedule:

• Deposit: $5,000
• Upon cable rough-in completion: $5,000
• For termination, labeling, testing, and providing test results: $6987.35

Testing will be wiremap tests only, on Fluke or Klein testers, with photos of passing tests provided to the client showing a passing wiretap test for all receptacles as well as patch port panel #.

If either party defaults in the performance of any of its duties or obligations under this Agreement, which default is not substantially cured to the satisfaction of the party not in default within ten (10) days after written notice is given to the defaulting party specifying the default, then the party not in default may, by giving written notice of termination to the defaulting party, terminate this Agreement as of a date specified in the notice of termination (the “Termination Date”).

The Client shall be held harmless against losses, liabilities, claims, causes of action, and other expenses, including reasonable attorneys’ fees, arising from activities of ASAP, its agents or employees performed under this contract that result from the negligent acts, errors or omissions of ASAP or any of its employees or agents.

ASAP shall provide 1 year parts and labor warranty for any defect in material or workmanship.
